SMBus controller issue and Windows XP problem

I've looked everywhere for the right driver for this thing and either none of them install right or its not the right one ... but here are my 2 problems.

1) under the device manager .. the SMBUS controller has the ! yield sign and says the driver is not installed right. I've tried everything to correct this to no avail. My mobo is a MSI p35 Neo Intel chip set (if any other information is needed to solve this let me know.

2) When starting up / restarting my computer ... about 6 out of 10 times after windows XP loading screen (and after all the USB ports are checked i.e mouse lights up ... camera rotates) it freezes up. It takes a good 5-6 times of restarting the computer before it will finally kick back on. Any ideas on this? or is this and my first problem related?

took out your motheroboard driver CD, just reinstall them all over again. This happned to me once the time I changed my graphic card from 7900GT > 8800GT. But didn't manage to uninstall the graphic driver first before I plugged my 8800GT onto the board (due to trying to get replacement for 7900GT, but no longer manufacture).
