Basically they can both be used in either franchise. So long as Marvel never mentions mutants or their lineage by name or history (like they can say they were orphans of holocaust survivors but they can't go by the name of Lensherr) they're fine. So long as Fox never mentions anything to do with the Avengers they're also fine. Fox definitely got the better end of the stick. It's going to be interesting to see if Whedon can top it. If he can't, he may have just killed the franchises.

In X3 Phoenix kills professor x and at the end of the movie he moves his mind to that coma patient. Shouldn't we be seeing a different person playing the professor then? Not that I want anyone else to play him but that is the only thing that was inconsistent for me.

On the DVD Commentary, it is revealed that the body on Muir Island was a "P. Xavier". One of the writers noted that this is an original twin brother, written for the scene, who was born braindead (due to Professor X's amount of power).
