It shouldn't be...the software is the same, it's just different architecture. The license to operate has no relevance to the 32 or 64 bit varieties, as far as I'm aware.

The difference lies in licensing, like you mentioned. OEM installs will require you to buy another license if you make a "major hardware change" which generally means a new motherboard. This can sometimes be worked-around if you sweet-talk a Microsoft rep, but for the most part it holds true. Retail copy licenses can be moved from computer to computer as long as only one is in use at a time.

Wait, I have a full retail copy of Windows XP Pro, and I have installed it onto multiple computers of my own, and they all run it at the same time with no license issues. Been doing this for about 4 or so years with about 3 computers.

Again, you will not have any problems installing 64-bit Vista using an OEM (or retail) key that came with a 32-bit copy. I'm running on precisely that--the PC came with an OEM copy of Vista Home Premium (32 bit), and after trying Windows 7, I was able to reformat my hard drive and install & activate a 64-bit version of VHP with no problems.

There are plenty of sites that will search rapidshare, try and use one of those.
