If you're a legitimate Windows user, changing the motherboard constitutes a "major hardware change" meaning they can fuck you in the ass by making you buy Windows again. Whether this actually happens or not can vary, but it is a real possibility.
That aside, motherboards have specific processors that they're compatible with, and that's where you should start. Find one that supports your processor, and then one that supports your memory. From there it's easy. If you're in the market for new RAM, pick a mobo that supports your processor, then use the memory compatibility list (or just use newegg) to pick out some memory for it.
I've never had the experience of being forced to rebuy Windows because of a change in my system's parts.. though I have been forced to call Microsoft to have my registration reissued when I've put in a new mobo, reformatted my hard drive, etc. anything major enough to trigger the stupid "Genuine Advantage" crap.
