Have you seen how much money Leno has? I'm sure having the show (His dream job) is a lot better then 40 mil. Not simply for the fact that if he kept it he'd have half a billion, but he would actually be able to do the number 1 thing he wants to do with his life. The guy has never been the flashy type and seemingly never spent the money he had, so while 40 million is nice to the normal person the money isn't really important in the grand scheme of things for him. Its being able to do something you like.

It's pretty much the reason they offered it to him in the first place. That speech of Leno's from the time of the announcement confirms Conan was looking to land a show on another network before they put The Tonight Show on a stick and dangled it in front of him.
